India-based esports and gaming firm NODWIN Gaming announced Friday that it has acquired Trinity Gaming, a gaming agency and creator service provider. The deal, valued at up to ₹240M INR (approximately $2.83M USD), will be executed through a combination of cash and equity shares.

Under the terms of the agreement, NODWIN will acquire 100% of Trinity’s share capital. The payment includes up to ₹48M (roughly $567.4K) in cash, with the remaining ₹192M (roughly $2.3M) paid through equity shares in NODWIN Gaming. Trinity Gaming’s founders, Abhishek Aggarwal and Shivam Rao, will become shareholders of NODWIN and will “continue to lead the business going forward.”

“Trinity Gaming has been a long-time partner and ally in the gaming ecosystem, and we’ve shared a strong relationship with Abhishek, Shivam, and their incredible team over the years,” said Akshat Rathee, co-founder of NODWIN Gaming. “We are thrilled to welcome Trinity Gaming into the NODWIN Gaming family. Trinity’s deep understanding of India’s gaming creator ecosystem, coupled with their expertise in brand partnerships, agency activations, content creation, and community engagement, will be pivotal in further strengthening our footprint in the region. This acquisition allows us to offer more holistic solutions to our partners, from content creation to marketing services, while continuing to build a thriving gaming ecosystem in India.”

NODWIN noted that the acquisition would enable the expansion of Trinity’s portfolio into emerging markets such as Southeast Asia and the Middle East.

Founded in 2019 by Abhishek Aggarwal and Shivam Rao, Trinity Gaming has played a significant role in shaping India’s gaming influencer ecosystem. As a creator service provider (CSP) for Meta and a gaming multi-channel network (MCN), Trinity represents more than 1,000 creators in India, according to its announcement and boasts partnerships with global brands such as Samsung, Realme, iQOO, and Krafton, among others.

Trinity joins a growing list of acquisitions for NODWIN in 2024, reflecting the company’s aggressive expansion strategy:

  • Comic Con India: An Indian pop and gaming culture festival organizer.
  • Freaks 4U Gaming: A German esports and gaming marketing agency.
  • Publishme: A marketing agency focused on West Asia and Turkey.
  • Branded: A Singapore-based live events firm.
  • Ninja Global: A Turkish esports and gaming company.

NODWIN is a subsidiary of Nazara Technologies Limited (BSE: NAZARA), a mobile gaming company based in India.
